General

  1. 1.1

These Terms & Conditions (“Terms”) govern the use of the website rhinograph.com (“Website”) and all services provided by RhinoGraph Oy (“RhinoGraph”, “we”, “us”), a limited liability company registered in Finland, Business ID 3620460-3, registered office Saariselänkuja 2 D 51, 00970 Helsinki, Finland.

  2. 1.2

By using the Website, requesting a quote, or engaging RhinoGraph for services, you (“Client”, “you”) accept these Terms. If you act on behalf of a company, you confirm that you are authorised to bind that company.

  3. 1.3

RhinoGraph provides services to businesses and organizations. Consumer protection legislation does not apply to business-to-business engagements. Where mandatory Finnish or EU consumer law applies to an individual acting outside their trade, that law prevails over any conflicting clause.

  4. 1.4

A signed proposal, statement of work or order confirmation (“Agreement”) forms part of the contract with these Terms. In case of conflict, the Agreement prevails over these Terms.

Anything not expressly listed in the Agreement is out of scope. Additional work is handled under Section 8 (Revisions and change requests).

04

Quotes, proposals and contract formation

  1. 4.1

Quotes and proposals are valid for 30 days from the date issued unless stated otherwise. Prices on the Website are indicative and do not constitute a binding offer.

  2. 4.2

A contract is formed when the Client accepts a proposal in writing (including email or e-signature), or when RhinoGraph confirms an order in writing, or when the Client pays the first invoice, whichever comes first.

  3. 4.3

Proposals are based on the information available at the time. If the actual scope, volume or complexity differs materially from what was described, RhinoGraph may issue a revised quote before continuing.

  4. 4.4

Proposals, audits and preliminary concepts shared before an Agreement is signed remain RhinoGraph’s property and may not be used, shared or implemented without a signed Agreement.

05

Fees, invoicing and payment

  1. 5.1

All Fees are quoted in euros (EUR) and exclude value added tax. Finnish VAT is added where applicable. For business customers in other EU countries, the reverse charge mechanism applies when you provide a valid VAT number. Clients outside the EU are responsible for any local taxes, duties or withholding.

  2. 5.2

Projects: Unless the Agreement states otherwise, 50% of the Fees are invoiced on signing and are payable before work begins. The remaining 50% is invoiced on delivery of the final Deliverables. Larger projects may be split into milestone payments as set out in the Agreement.

  3. 5.3

Monthly engagements: Fees are invoiced at the start of each month and are payable in full before work for that month begins. Work for a given month starts only after we receive payment for that month. The first invoice is issued on signing. A minimum term applies as stated in the Agreement (typically 6 months for visibility programmes).

  4. 5.4

Payment term: invoices are due within 14 days of the invoice date, by bank transfer to the account stated on the invoice. The Client bears bank charges.

  5. 5.5

Late payment: overdue amounts accrue interest at the statutory rate under the Finnish Interest Act (Korkolaki 633/1982), plus a fixed collection fee of EUR 40 under the Finnish Act on Payment Terms in Commercial Contracts (30/2013). RhinoGraph may also recover reasonable collection costs.

  6. 5.6

Suspension: if an invoice is more than 14 days overdue, RhinoGraph may pause all work, withhold Deliverables and suspend access to websites or accounts it hosts or manages until payment is received. Timelines are extended accordingly.

  7. 5.7

Third-party costs: fonts, stock assets, plugins, licenses, hosting, domains, ad spend and similar costs are not included in the Fees unless stated. The Client either pays them directly or invoices them at cost with prior approval.

  8. 5.8

Expenses: travel or other expenses agreed in advance are invoiced at cost.

  9. 5.9

Disputes about an invoice must be raised in writing within 7 days of the invoice date. Undisputed parts remain payable on time.

06

Client obligations and materials

  1. 6.1

The Client will provide, on time and in usable form, all Client Materials, briefs, feedback, approvals, and access (hosting, CMS, domain, analytics, social and ad accounts) needed to perform the Services.

  2. 6.2

The Client appoints one main contact person with authority to give feedback and approvals. The Client must consolidate feedback from multiple stakeholders before sending it to RhinoGraph.

  3. 6.3

The Client warrants that it owns or has the right to use all Client Materials, and that they do not infringe third-party rights or applicable law. The Client indemnifies RhinoGraph against claims arising from Client Materials.

  4. 6.4

The Client is responsible for the accuracy of all content it supplies or approves, including legal texts, product claims, prices and regulatory information on its website and marketing.

  5. 6.5

Delays in providing materials, access or feedback extend timelines accordingly. If the Client is inactive for more than 30 days, RhinoGraph may treat the project as paused; restarting may require re-scheduling and a restart fee of up to 10% of the project Fees.

  6. 6.6

The Client is responsible for backing up its own data and for keeping credentials it shares with RhinoGraph secure and up to date.

07

Timelines, delivery and acceptance

  1. 7.1

Timelines in the Agreement are estimates based on the Client meeting its obligations in Section 6. They are counted in Business Days from receipt of the first payment and all required Client Materials.

  2. 7.2

RhinoGraph delivers Deliverables in stages (for example, concepts, design, development, launch). Each stage requires written approval before the next begins.

  3. 7.3

The Client reviews each delivery and gives written approval or consolidated feedback within 5 Business Days. If no response is received within 10 Business Days, the delivery is deemed accepted.

  4. 7.4

Final Deliverables are handed over in the agreed formats (for example, vector and raster logo files, brand guideline PDFs, exported video, live website). Working Files are not part of the Deliverables unless the Agreement says so.

  5. 7.5

Website launches require the Client’s written go-live approval. After launch, RhinoGraph provides a 14-day bug-fix period for defects in work RhinoGraph performed. Changes to content, design or scope after launch are billed separately.

  6. 7.6

Rush requests that shorten the agreed timeline are subject to availability and a rush surcharge of 25% to 50% of the affected Fees, agreed in writing beforehand.

08

Revisions and change requests

  1. 8.1

Each stage includes the number of revision rounds stated in the Agreement. Unless stated otherwise, two (2) revision rounds are included per stage. A revision round is one consolidated set of feedback on the current version.

  2. 8.2

Revisions cover refinements within the approved direction. A change of direction, new concepts after concept approval, new pages, new features or new deliverables are change requests, not revisions.

  3. 8.3

Additional revision rounds and change requests are quoted separately, either at RhinoGraph’s current hourly rate or as a fixed price, and require written approval before work starts.

  4. 8.4

Changes to an approved stage (for example changing an approved logo during website development) may affect the timeline and Fees of later stages.

09

Intellectual property and licensing

  1. 9.1

Ownership on full payment: on receipt of full payment of all Fees due under the Agreement, RhinoGraph assigns to the Client the intellectual property rights in the final, approved Deliverables. Until full payment, all rights remain with RhinoGraph and the Client has no right to use the Deliverables.

  2. 9.2

Working Files and rejected concepts: RhinoGraph keeps all rights in Working Files, unused concepts, drafts and alternative directions. These may be reused for other clients in a non-identifiable form.

  3. 9.3

RhinoGraph tools and know-how: RhinoGraph keeps all rights in its methods, templates, frameworks, code libraries, components, prompts and general know-how. Where such elements are included in a Deliverable, the Client receives a non-exclusive, perpetual licence to use them as part of that Deliverable.

  4. 9.4

Third-party elements: fonts, stock imagery, icons, plugins, themes, music and similar third-party assets are licensed under their own terms. RhinoGraph will inform the Client of licenses needed. The Client is responsible for maintaining those licenses after handover.

  5. 9.5

Trademarks: RhinoGraph does not conduct trademark searches or clearances unless specifically agreed. The Client is responsible for checking the availability and registrability of names, logos and marks.

  6. 9.6

Moral rights and credit: RhinoGraph and its designers keep the right to be identified as the creators of the work where customary.

  7. 9.7

Portfolio use: RhinoGraph may display the Deliverables, the Client’s name and logo, and a description of the work in its portfolio, website, case studies, social media, award submissions and pitches. The Client may opt out in writing before the project starts, or request a delay until a public launch date.

  8. 9.8

Website code: for websites built on WordPress, Framer or Webflow, the Client owns the site content, design and custom code created for it, subject to the platform’s own terms and any open-source licenses.

10

Third-party services and platforms

  1. 10.1

The Services may rely on third-party platforms and tools such as WordPress, Framer, Webflow, hosting providers, domain registrars, HubSpot, Google services, AI tools, analytics and SEO tools. Use of those platforms is subject to their own terms, and RhinoGraph is not responsible for their availability, pricing changes, feature changes, outages or data handling.

  2. 10.2

Accounts and subscriptions for such platforms should be opened in the Client’s name where possible. Where RhinoGraph holds an account on the Client’s behalf, it will transfer ownership on request after all Fees are paid.

  3. 10.3

RhinoGraph is not responsible for issues caused by third-party plugins, themes, integrations or changes made by the Client or other vendors after handover.

  4. 10.4

Hosting, maintenance, security updates and backups after launch are not included unless the Agreement includes a maintenance plan.

11

SEO, GEO and results

  1. 11.1

Search engines and AI platforms (including Google, Bing, ChatGPT, Perplexity, Gemini and others) control their own ranking, indexing and citation logic. RhinoGraph does not control these systems and cannot guarantee any specific ranking, position, traffic level, AI citation, lead volume, conversion rate or revenue outcome.

  2. 11.2

Results depend on factors outside RhinoGraph’s control, including algorithm changes, competitor activity, the Client’s website history, technical constraints, budget, and the Client’s timely implementation of recommendations.

  3. 11.3

RhinoGraph uses only ethical, guideline-compliant techniques. The Client must not request or apply manipulative practices (such as purchased links, cloaking or spam) to work RhinoGraph manages. RhinoGraph is not liable for penalties caused by such practices or by work performed by others.

  4. 11.4

Reporting is based on third-party data sources (for example Google Search Console, Google Analytics, Ahrefs). RhinoGraph is not responsible for inaccuracies in that data.

  5. 11.5

Ad spend on paid campaigns is always paid by the Client directly to the platform unless the Agreement states otherwise. Management fees are separate from ad spend.

12

Confidentiality

  1. 12.1

Each party will keep confidential all non-public business, technical, financial and strategic information received from the other party in connection with the Services, and use it only for the purposes of the Agreement.

  2. 12.2

Confidentiality does not apply to information that is or becomes public without breach, was already lawfully known to the receiving party, is independently developed, or must be disclosed by law or court order.

  3. 12.3

This obligation continues for 3 years after the Agreement ends. Portfolio use under Section 9.7 is not a breach of confidentiality.

  4. 12.4

A separate non-disclosure agreement, if signed, prevails over this Section.

13

Data protection and privacy

  1. 13.1

RhinoGraph processes personal data in accordance with the EU General Data Protection Regulation (GDPR) and the Finnish Data Protection Act (1050/2018). Details of how RhinoGraph processes personal data of Website visitors and Client contacts are set out in the Privacy Policy.

  2. 13.2

Where RhinoGraph processes personal data on the Client’s behalf (for example end-user data in a website, CRM or analytics tool), the Client is the controller and RhinoGraph the processor. The parties will sign a data processing agreement where required by Article 28 GDPR.

  3. 13.3

The Client is responsible for the lawfulness of its own data collection, including cookie consent, privacy notices and legal texts on its website, unless RhinoGraph has been engaged in writing to produce them.

  4. 13.4

The Website uses cookies and similar technologies as described in the Cookie Policy.

14

Warranties and limitation of liability

  1. 14.1

RhinoGraph warrants that the Services will be performed with professional skill and care, and that the Deliverables will materially conform to the Agreement at the time of acceptance.

  2. 14.2

RhinoGraph does not warrant that a website or software will be error-free or uninterrupted, that it will work with all future browsers, devices, plugins or platform updates, or that any Deliverable will achieve a particular commercial result.

  3. 14.3

Defects reported in writing within 14 days of acceptance will be corrected free of charge. Beyond that, corrections are billed at RhinoGraph’s current hourly rate.

  4. 14.4

Liability cap: RhinoGraph’s total liability under or in connection with an Agreement, whether in contract, tort or otherwise, is limited to the Fees paid by the Client under that Agreement during the 6 months preceding the event giving rise to the claim.

  5. 14.5

Excluded damages: RhinoGraph is not liable for indirect or consequential loss, including loss of profit, revenue, business, goodwill, data or anticipated savings, or for losses caused by third-party platforms, Client Materials, or changes made by the Client or others after handover.

  6. 14.6

Nothing in these Terms limits liability for gross negligence, wilful misconduct, or any liability that cannot be limited under Finnish law.

  7. 14.7

Claims must be made in writing within 6 months of the event giving rise to them.

15

Termination and cancellation

  1. 15.1

Projects: the Client may cancel a project in writing at any time. On cancellation, the Client pays for all work performed up to the cancellation date, all non-refundable third-party costs incurred, and a cancellation fee of 25% of the remaining unpaid project Fees. Deposits are non-refundable. Work completed to date is handed over on payment; rights transfer under Section 9 only for paid Deliverables.

  2. 15.2

Monthly engagements: either party may terminate with 30 days’ written notice, effective at the end of a calendar month, after the minimum term stated in the Agreement. Termination before the end of the minimum term makes the Fees for the remaining minimum term immediately payable, unless RhinoGraph has materially breached the Agreement.

  3. 15.3

Breach: either party may terminate with immediate effect if the other party materially breaches the Agreement and fails to remedy the breach within 14 days of written notice, or becomes insolvent, enters liquidation or ceases business.

  4. 15.4

Effects: on termination, each party returns or deletes the other party’s confidential materials on request, and RhinoGraph provides a handover of paid Deliverables and account access within 10 Business Days. Sections 5, 9, 12, 14 and 18 survive termination.

16

Website use

  1. 16.1

The content of the Website (text, images, case studies, videos, code and design) is owned by RhinoGraph or its licensors and protected by copyright and other intellectual property laws. You may view and share links to the Website; you may not copy, reproduce, scrape, modify or reuse content without written permission. Client work shown in case studies belongs to the respective clients and is shown with permission.

  2. 16.2

You must not use the Website in any way that is unlawful, harms the Website or its users, attempts to gain unauthorised access, or introduces malicious code.

  3. 16.3

The Website may contain links to third-party sites. RhinoGraph is not responsible for their content or practices.

  4. 16.4

Information on the Website is provided for general information only. RhinoGraph makes reasonable efforts to keep it accurate but does not warrant that it is complete, current or error-free. Service descriptions, timelines and prices on the Website may change without notice and do not form part of any Agreement unless confirmed in writing.

  5. 16.5

Forms on the Website (for example “Start a Project”) send your details to RhinoGraph and its CRM provider for the purpose of responding to your request, as described in the Privacy Policy.

17

Force majeure

  1. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, pandemic, strikes, power or internet outages, failure of third-party platforms, cyber attacks, or government action. The affected party will notify the other without delay, and timelines are extended for the duration of the event. If the event lasts more than 60 days, either party may terminate the affected Agreement, and the Client pays for work performed up to that date.

18

Governing law and disputes

  1. 18.1

These Terms and every Agreement are governed by the laws of Finland, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG).

  2. 18.2

The parties will first try to settle any dispute through good-faith negotiation between senior representatives within 30 days of written notice of the dispute.

  3. 18.3

Disputes that cannot be settled by negotiation are resolved by the District Court of Helsinki (Helsingin käräjäoikeus) as the court of first instance. RhinoGraph may also bring a claim for unpaid Fees in the courts of the Client’s domicile.

  4. 18.4

Nothing in this Section prevents either party from seeking interim relief in any competent court.

19

General provisions and contact

  1. 19.1

Changes to these Terms: RhinoGraph may update these Terms at any time by publishing a new version on the Website. The version in force on the date an Agreement is signed applies to that Agreement. Continued use of the Website after publication means acceptance of the updated Terms.

  2. 19.2

Entire agreement: these Terms together with the Agreement form the entire agreement between the parties on the Services and replace all earlier discussions and proposals.

  3. 19.3

Severability: If any clause is found invalid or unenforceable, the remaining clauses stay in force and the invalid clause is replaced with a valid one closest in effect.

  4. 19.4

Assignment: The Client may not assign the Agreement without RhinoGraph’s written consent. RhinoGraph may assign it to a successor of its business.

  5. 19.5
